1. Introduction

This End-User License Agreement (“Agreement”) is a legal contract between you (“User”) and Viacheslav Bogdanov (“Developer”) governing your use of the software product LocalHelper.ai (“Software”). By installing, copying, or using the Software, you accept all terms of this Agreement. If you do not agree, do not install or use the Software.

2. Grant of License

• Home / Non-Commercial License You may install and use one (1) copy of the Software on a single personal computer solely for personal, home, or other non-commercial purposes.
  
  

• Commercial Use Any business, professional, or revenue-generating use is prohibited under this license. To obtain commercial rights, you must contact the copyright holders to purchase an appropriate license (legal@localhelper.ai).
  
  

3. User Responsibilities & Copyright Compliance

1. No Infringing Use You agree not to use the Software to generate, reproduce, or distribute content that infringes any third-party copyrights, trademarks, or other rights.
   
   

2. User-Generated Content The Software produces text and/or speech on demand. The Developer does not pre-screen, filter, or monitor this output. You are solely responsible for all content generated through your use of the Software.
   
   

3. Indemnity You will defend, indemnify, and hold harmless the Developer from any claims, losses, or expenses (including attorneys’ fees) arising from your violation of this section.
   
   

4. Reporting If you believe the Software facilitated unauthorized use of your copyrighted material, notify us at legal@localhelper.ai.
   
   

4. Ownership

The Software is licensed, not sold. All rights, titles, and interests (including updates, modifications, and documentation) remain with the Developer.

5. Restrictions

You shall not:

• Distribute, sublicense, rent, or lease the Software without prior written permission;
  
  

• Reverse-engineer, decompile, or disassemble the Software;
  
  

• Use the Software in violation of any applicable laws or third-party rights;
  
  

• Use the Software to develop or train competing AI products.
  
  

6. Privacy & Offline Operation

LocalHelper.ai processes voice and text entirely offline on your device. No personal data leave the machine unless you deliberately provide it for support or licensing. In the event of a crash, the Software may transmit a minimal, anonymized snippet of the last transcript along with technical logs to Sentry for debugging purposes.

7. Termination

This Agreement remains in force until terminated. It terminates automatically if you breach any term. Upon termination you must destroy all copies of the Software.

8. Disclaimer of Warranty

The Software is provided “AS IS” without warranty of any kind. The Developer disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose.

9. Limitation of Liability

In no event will the Developer be liable for any indirect, special, incidental, or consequential damages (including data loss, hardware damage, or lost profits) arising from use of or inability to use the Software.

10. Governing Law

This Agreement is governed by and construed in accordance with the laws of a neutral jurisdiction, without regard to conflict-of-law principles.
